INFLUENCER TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern your access to and use of the Trovio platform (“Platform”), owned and operated by Trovio, Inc. (“Trovio,” “we,” “us,” or “our”). These Terms apply only to creators (“Creator,” “you,” or “your”) who access or subscribe to the Platform.

By creating an account, subscribing to the Platform, or using any part of the Services, you agree to be bound by these Terms.

1. The Trovio Platform

Trovio is a software platform designed to help creators organize, understand, and engage their audience through automated tools, insights, and workflows (the “Services”). While marketed as a “digital agent” or “agent replacement,” Trovio is a software tool only.

Trovio is not:

• A talent agent

• A manager

• A legal representative

• A fiduciary

• An employer

Trovio does not negotiate contracts on your behalf, guarantee brand deals, or guarantee revenue or growth.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms to use the Platform. By using Trovio, you represent that you meet these requirements.

3. Subscription & Billing

a. Subscription Model

Access to the Platform is provided on a monthly subscription basis. Pricing and plan details are displayed at the time of purchase or on our website.

b. Auto-Renewal

Subscriptions automatically renew monthly unless canceled prior to the renewal date.

c. Cancellation

You may cancel your subscription at any time prior to your next billing cycle. Upon cancellation, your subscription will remain active until the end of the current billing period.

d. No Refunds

All payments are non-refundable, including for partial months or unused features.

4. Creator Content Ownership

You retain full ownership of all content you create, upload, or connect to the Platform, including but not limited to:

• Social media content

• Written content

• Media files

• Branding assets

Trovio does not claim ownership or licensing rights to your content.

You grant Trovio only the limited rights necessary to technically operate the Platform (e.g., hosting, processing, displaying within your account).

5. Audience Data & Platform Data

a. Audience Data Ownership

Any audience data collected through the Trovio Platform—including but not limited to emails, preferences, responses, analytics, and interaction data—is owned by Trovio.

b. Use of Data

Trovio may use audience data to:

• Operate and improve the Platform

• Generate insights, analytics, and recommendations

• Create aggregated and anonymized benchmarks

Trovio will not sell identifiable audience data to third parties without proper authorization or consent.

c. Creator Access

Creators may view and use audience insights provided through the Platform, subject to these Terms.

6. Acceptable Use

You agree not to:

• Use the Platform for unlawful purposes

• Misrepresent yourself or your audience

• Attempt to scrape, copy, or reverse engineer the Platform

• Use the Platform to spam, harass, or deceive users

Trovio reserves the right to suspend or terminate accounts that violate these Terms.

7. No Guarantees

Trovio does not guarantee:

• Revenue

• Brand partnerships

• Audience growth

• Engagement levels

Results depend on many factors outside of Trovio’s control, including your audience, content, and external platforms.

8. Account Suspension & Termination

Trovio may suspend or terminate your account at any time if:

• You violate these Terms

• You misuse the Platform

• Your activity poses legal or reputational risk

Upon termination, access to the Platform and Services will be revoked.

9. Confidentiality

You agree to keep any non-public information about the Platform, including features, workflows, or product details, confidential unless otherwise authorized.

10. Intellectual Property

All Platform technology, software, design, branding, and proprietary systems are the exclusive property of Trovio. These Terms grant you no ownership rights in the Platform itself.

11. Disclaimers

The Platform is provided “as is” and “as available.” Trovio makes no warranties of any kind, express or implied, including fitness for a particular purpose.

12. Limitation of Liability

To the maximum extent permitted by law:

• Trovio shall not be liable for indirect, incidental, or consequential damages

• Trovio’s total liability shall not exceed the fees paid by you in the three (3) months prior to the claim

13. Indemnification

You agree to indemnify and hold harmless Trovio from any claims arising from:

• Your use of the Platform

• Your content

• Your interactions with third parties

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

15. Changes to These Terms

Trovio may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
